Terms of Service

These Terms of Service govern your access to and use of Venture Cortex (the Service). By creating an account, accepting these Terms at checkout, or using the Service, you agree to them. Please read them carefully.
Venture Cortex produces AI-generated opinions, not professional advice. It is a decision-support tool. Every output must be independently verified before you act on it. See section 3.

Service Description
Venture Cortex is an AI-powered business intelligence platform that runs structured debate sessions using a council of five frontier AI models: Claude Opus 5 (Anthropic), GPT-5.6 Sol (OpenAI), Gemini 3.1 Pro (Google), Grok 4.5 (xAI), and Kimi K3 (Moonshot AI). These sessions analyze your business ideas, generate structured proposals, and surface insights to support your decision-making.
Sessions may also draw on third-party web search and research providers to gather public context about markets, competitors, and companies. See our Privacy Policy for the full list of providers involved.
AI Output Is Not Professional Advice
The Service generates the opinions of large language models. It does not provide legal, financial, investment, tax, accounting, medical, or other professional advice, and no professional or advisory relationship is created by your use of it.
You should understand the following about AI-generated output before relying on any part of it:
- It can be confidently wrong. Language models can produce statements that are inaccurate, outdated, internally inconsistent, or entirely fabricated — including invented figures, sources, companies, and citations.
- Agreement between models is not verification. The council structure surfaces disagreement, but five models can share the same blind spot or the same incorrect training data. Consensus is not evidence.
- Market and financial content is illustrative only. Nothing in the Service is an offer, solicitation, or recommendation to buy, sell, or invest in any security, business, or asset.
- Research output may be incomplete. Web research depends on third-party sources that may be stale, partial, or wrong.
You are solely responsible for every decision you make, and for independently verifying any fact, figure, or recommendation before acting on it. Where a decision has legal, financial, or regulatory consequences, consult a qualified professional in the relevant jurisdiction. To the fullest extent permitted by law, we accept no liability for decisions taken in reliance on AI-generated output.
User Obligations
You agree to:
- Provide accurate information when creating your account and using the Service.
- Use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy.
- Not attempt to scrape, reverse-engineer, or automate access to the Service beyond documented APIs.
- Not share your account credentials with third parties.
- Not attempt to access other users' data.
Intellectual Property
Your data: You retain full ownership of all venture data, business ideas, and content you submit to the Service. You grant us a limited license to process this data solely to provide the Service.
Our platform: We own all intellectual property rights in the Service, including the platform software, design, algorithms, prompts, and aggregated non-identifiable insights. Nothing in these Terms transfers ownership of our platform IP to you.
AI-generated content: Content generated by the AI council during your sessions is provided to you for your use, subject to these Terms and the applicable policies of the underlying AI providers.
Data Processing and AI Providers
To provide the Service, your venture data is transmitted to third-party AI providers for analysis. These providers are:
- Anthropic (Claude Opus 5)
- OpenAI (GPT-5.6 Sol)
- Google (Gemini 3.1 Pro)
- xAI (Grok 4.5)
- Moonshot AI (Kimi K3)
We require that these providers do not use your data for training their models. However, you should review each provider's data processing policies independently. Do not submit data that is confidential, proprietary to a third party, or subject to legal restrictions on sharing.
For full details on how we handle your data, see our Privacy Policy.
Payment Terms
Paid plans are billed via Stripe on a recurring subscription basis. By subscribing, you authorize us to charge your payment method on each renewal at the then-current price.
- Auto-renewal: Subscriptions automatically renew each billing period unless cancelled before the renewal date.
- Cancellation: You may cancel at any time via your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Taxes: Prices are shown exclusive of tax unless stated otherwise. On subscriptions, applicable VAT or sales tax is calculated and added at checkout based on your billing location, and business customers with a valid EU VAT number may supply it at checkout, in which case the reverse-charge mechanism applies. The Council Audit is sold at a flat price with no tax calculated at checkout; if you need a VAT invoice, write to support@venturecortex.com and we will issue one.
- Free access: Where offered, starter access without a card expires unless you choose a paid plan. Any offer that requires payment details discloses renewal terms before checkout.
- Price changes:We will provide at least 30 days' notice before increasing subscription prices.
- Failed payments: If a renewal payment fails, we may suspend access until payment succeeds, and may cancel the subscription if it remains unpaid.
Refunds and Right of Withdrawal
Our full refund terms are set out in the Refund Policy, which forms part of these Terms. In summary:
- 14-day cooling-off period: If you are a consumer in the EU, you normally have 14 days to withdraw from a purchase of digital services. On a subscription, because the Service delivers value immediately, we ask you at checkout to request immediate access and to acknowledge that you lose this withdrawal right once a council session has run on your behalf; if no session has run, you may withdraw within 14 days for a full refund. On a Council Audit we do not ask you to waive anything at checkout, so your withdrawal right is not given up — and the audit guarantee in the Refund Policy applies in addition to it.
- Goodwill refund window: If you are unhappy with your first subscription charge, contact us within 14 days of that charge and we will refund it. This is offered as a goodwill policy on a first subscription only, in addition to your statutory rights above.
- Renewals: Renewal charges are generally non-refundable, but we will consider a refund where a renewal was clearly unintended and the plan was unused in that period.
- Statutory rights: Nothing in these Terms limits any non-waivable rights you have under Bulgarian or EU consumer protection law.
To request a refund, email support@venturecortex.com from the address on your account.
Limitation of Liability
The Service is provided as-is and as-available without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by applicable law, Venture Cortex and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability to you for any claims arising from these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the three months preceding the claim, or (b) $100 USD.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or under mandatory consumer protection law. If you are a consumer, your statutory rights are unaffected.
Termination
You may terminate your account at any time by contacting us at support@venturecortex.com or through your account settings.
We reserve the right to suspend or terminate your account immediately, with or without notice, if we determine that you have violated these Terms, our Acceptable Use Policy, or if required by law. Upon termination, your right to use the Service ceases. We will handle your data in accordance with our Privacy Policy.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, the Service, or their subject matter (including non-contractual disputes) are governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to conflict of law principles.
The competent courts of Sofia, Bulgaria shall have exclusive jurisdiction to settle any such dispute or claim.
If you are a consumer resident in the European Union, this choice of law and jurisdiction does not deprive you of the protection of mandatory provisions of the law of your country of residence, and you may also bring proceedings in the courts of that country. The European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr.
